"Agreement" refers to these Terms & Conditions together with any separate service agreement or statement of work entered into between you and Helioquant.

2. Acceptance of Terms

You represent that you are at least 18 years of age and have the legal capacity to enter into this agreement. If you are acting on behalf of an organisation, you confirm that you have the authority to bind that organisation to these terms.

3. Service Description

Helioquant provides artificial intelligence consulting and development services, including the design, training, and deployment of custom AI models and systems. Our core offerings include optical character recognition solutions, AI-driven supply chain optimisation, and conversational search interfaces.

The specific scope, deliverables, and timelines for each engagement are defined in a separate service agreement or statement of work. These Terms & Conditions serve as the general framework governing your use of our website and interactions with our team.

Service availability may vary based on capacity, project suitability, and other factors. We reserve the right to decline engagements at our discretion.

4. User Responsibilities

When using our website or engaging our services, you agree to:

6. Payment Terms

Pricing for our services is quoted in Singapore Dollars (SGD) and outlined in each service agreement or proposal. Unless otherwise specified:

Payment terms are net 14 days from the date of invoice.

A deposit may be required before work commences, as detailed in the relevant service agreement.

All prices are exclusive of Goods and Services Tax (GST), which will be applied at the prevailing rate where applicable.

Late payments may incur an administrative fee. We will communicate any such charges in advance within the service agreement.

7. Confidentiality

Both parties agree to treat all non-public information shared during the course of an engagement as confidential. This includes business data, technical specifications, model architectures, training data, and project documentation.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law. Specific confidentiality terms may be established in individual service agreements or a separate Non-Disclosure Agreement.

8. Disclaimers

Our website and its content are provided on an "as is" and "as available" basis. While we make reasonable efforts to ensure accuracy, we do not warrant that the website will be uninterrupted, error-free, or free of harmful components.

AI models and systems involve inherent uncertainty. We do not make representations about specific accuracy levels, performance outcomes, or business results unless explicitly stated in a signed service agreement.

Information on our website is for general informational purposes and does not constitute professional advice. We recommend consulting with appropriate professionals for decisions relating to your specific circumstances.

9. Limitation of Liability

To the maximum extent permitted under Singapore law, Helioquant shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the website or our services.

Our total aggregate liability for any claim related to our services shall not exceed the total fees paid by you for the specific engagement giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot be excluded under applicable law, including liability for fraud or wilful misconduct.

10. Indemnification

You agree to indemnify, defend, and hold harmless Helioquant, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the website, violation of these terms, or infringement of any third-party rights.

11. Termination

We may restrict or terminate your access to the website at any time if we believe you have violated these Terms & Conditions or are using the website in a manner that could harm Helioquant or other users.

Termination of service engagements is governed by the relevant service agreement. In the absence of specific terms, either party may terminate an engagement with 30 days' written notice, subject to payment for work completed.

12. Dispute Resolution

These Terms & Conditions are governed by the laws of the Republic of Singapore. Any disputes arising from or in connection with these terms shall be subject to the non-exclusive jurisdiction of the courts of Singapore.

Before initiating formal proceedings, both parties agree to make a good-faith effort to resolve disputes through direct consultation and negotiation. If informal resolution is not reached within 30 days, either party may pursue mediation through the Singapore Mediation Centre before seeking court intervention.

13. General Provisions

Entire agreement: These terms, together with our Privacy Policy and any applicable service agreement, constitute the entire understanding between you and Helioquant regarding the subject matter herein.

Severability: If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver: Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.

Assignment: You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations without restriction.

14. Changes to These Terms

We reserve the right to modify these Terms & Conditions at any time. When material changes are made, we will update the "Last Updated" date at the top of this page. We encourage you to review this page periodically to stay informed of any updates.
